HEALHQ STUDIO – Terms and Conditions
These Terms and Conditions are our standard terms which apply to the services we provide to you (known
as the “Services”), by us, HEALHQ Studio (trading name of Jonathan Gunton) whose business address is
17 Bushy Park, Totterdown, Bristol, BS4 2EG (known as the “Studio”, also referred to as us/we/our).
Important Notice: Your attention is particularly drawn to Sections 1.3-1.5 (Scope of Services, No
Guarantees, and Client Responsibility) and Section 12 (Liability), which contain important exclusions and
limitations of our liability and clarify that our Services do not constitute medical treatment.
Contract Formation: A contract is formed between us when: (i) you sign these Terms and Conditions; (ii)
we confirm your first appointment or you complete purchase of a digital product; and (iii) where applicable,
payment is received.
Please read through the entire document carefully before signing to indicate your acknowledgement and
acceptance. If you have any questions on any part of this document, please do not hesitate to ask before
signing.
1 Services
1.1 Professional Registration and Qualifications. The Studio is operated by Jonathan Gunton, who
is a registered member of the General Hypnotherapy Register (GHR). The GHR is a professional
body that maintains standards of practice and ethical conduct for hypnotherapy practitioners in
the UK. Details of our registration and professional standards can be provided upon request.
1.2 Services Provided. The Services we provide include:
1:1 Transformational Sessions
Individual sessions delivered online or in person incorporating hypnotherapy principles, guided
visualisation, subconscious belief re-patterning, emotional processing, structured dialogue,
breathwork, and sound-based therapeutic audio. Sessions may include the creation of
personalised audio recordings for client use between sessions.
90-Day Reset Transformation Programme
A structured three-month programme combining:
• Live 1:1 sessions
• Custom transformational recordings
• Integration exercises
• Ongoing accountability and support
This programme is designed to support sustained personal development and behavioural change.
Digital Audio Products
Pre-recorded audio products sold digitally, including sleep recordings, relaxation tracks, and
mindset-focused recordings. These are self-guided personal development tools and do not
constitute personalised therapy or medical treatment.
1.3 Scope of Services. The work may include techniques intended to reduce stress activation,
promote emotional balance and support the regulation of the nervous system. The Studio operates
in the field of personal development, coaching, wellbeing support, and educational selfimprovement
and does not diagnose or treat nervous system disorders, trauma disorders, mental
health conditions, or any medical conditions.
1.4 No Guarantees. While we are committed to providing professional, ethical care and support, we
cannot guarantee specific outcomes or results. Personal transformation is a collaborative

process, and outcomes vary between individuals. Your engagement, commitment, and individual
circumstances all play a significant role in your results.
1.5 Client Responsibility. You remain responsible for your own health and for seeking appropriate
medical or mental health care where required. Our Services complement but do not replace
professional medical, psychiatric, or psychological treatment.
1.6 Duration and Termination. The duration of work varies depending on individual needs and goals.
We will regularly review progress with you. Either party may end the relationship at any time. We
recommend providing two weeks’ notice where possible to allow for appropriate closure.
1.7 Termination for Misconduct. We reserve the right to refuse or terminate Services without refund
where a client attends sessions under the influence of alcohol or non-prescribed drugs, behaves
in an abusive, threatening, aggressive, or inappropriate manner, or breaches professional
boundaries.
2 Suitability and Contraindications
2.1 Initial Consultations & Client Suitability. We oaer a free consultation prior to commencing the
Services. Please note that free consultations are exploratory only and do not constitute therapy or
treatment, nor do they guarantee we will commence the Services. During this free consultation we
will conduct a suitability assessment to ensure our Services are appropriate for your needs. This
assessment helps ensure your safety and the eaectiveness of the work.
2.2 Contraindications for Hypnotherapy and Transformational Work. Our Services may not be
suitable, or may require medical clearance, if you have any of the following conditions:
Absolute Contraindications (Services not suitable):
• Active psychosis or schizophrenia
• Severe personality disorders
• Active suicidal ideation or intent
• Recent hospitalisation for psychiatric crisis
• Acute manic or psychotic episode
• Dissociative identity disorder (DID/multiple personality disorder)
• Severe clinical depression requiring psychiatric intervention
Relative Contraindications (require medical clearance or specialist assessment):
• Epilepsy or seizure disorders
• Heart conditions or recent cardiac events
• Current treatment for any psychiatric condition
• Current or recent treatment for trauma-related disorders (PTSD, complex PTSD)
• Bipolar disorder
• Borderline personality disorder or other personality disorders
• Recent bereavement or acute grief
• Ongoing substance abuse or addiction
• Current pregnancy (for certain techniques)

• Any condition requiring ongoing psychiatric medication
2.3 Your Responsibility to Disclose. You are responsible for disclosing any relevant medical,
psychiatric, or psychological history during your suitability assessment and throughout our work
together. This includes:
• Any current or past mental health diagnoses
• Any medications you are taking (particularly psychiatric medications)
• Any recent or ongoing medical treatment
• Any significant life stressors or traumatic events
• Any other factors that may aaect your suitability for hypnotherapy or transformational work
Failure to disclose relevant information may aVect the safety and suitability of the Services
and may result in termination of Services.
2.4 Medical and Psychiatric Care. If you are currently under the care of a GP, psychiatrist, psychologist,
or other healthcare professional for any mental health or medical condition, you must inform them
that you are seeking hypnotherapy/transformational Services and, where appropriate, obtain their
approval before commencing work with us.
2.5 Ongoing Suitability. We reserve the right to reassess your suitability for Services at any time. If
circumstances change or concerns arise about your wellbeing or the suitability of our Services for
your needs, we may pause or terminate Services and provide appropriate referrals.
2.6 Age Restriction. Our Services are available to clients aged 18 years and over only. We do not provide
Services to minors.
3 Sessions
3.1 Session Length. The standard session length is approximately 2 hours unless otherwise agreed.
3.2 Late Arrival. If you know you are going to be late for a session, you should contact us to tell us. If
you arrive later than 15 minutes after a session time, we will try to provide the Services you have
booked but if we decide that we cannot, the session will be treated as cancelled without notice by
you and you may be charged (See Cancellations below). This is the case no matter whether the
session is for a face-to-face or online session.
3.3 Session Format. Sessions may be provided in-person at our business address or via online via video
call, as agreed with you at the time of booking.
3.4 What You Need. For online sessions, you will need a device with internet connection, camera, and
microphone, and a private, quiet space where you can speak freely. For in-person sessions, please
arrive at the address provided in your booking confirmation.
3.5 Health and Safety. When attending in-person sessions, you must follow any reasonable safety
instructions we provide and inform us in advance of any access needs or mobility requirements. We
maintain appropriate health and safety standards and public liability insurance. You must not attend
if you are unwell with symptoms of infectious illness. We reserve the right to refuse access or
terminate a session if there is a health and safety risk.
3.6 What to Expect. Each session will typically include discussion, therapeutic techniques as
described in clause 1.2, and may include the creation of personalised audio recordings for your use
between sessions.

3.7 Corporate and OV-Site Sessions. We may provide group sessions, workshops, or individual
sessions at corporate clients’ premises or other third-party locations by agreement. When sessions
are delivered at a corporate client’s premises or other third-party location:
• You acknowledge that we are visitors to the premises and are not responsible for the health and
safety standards, security, or accessibility of the third-party location
• The host organisation is responsible for ensuring their premises comply with health and safety
legislation and have appropriate public liability insurance
• Participants must follow the host organisation’s security, access, and health and safety
procedures while on their premises
• We reserve the right to cancel or relocate a session if the venue provided is unsuitable or poses
a health and safety risk
• Our professional indemnity insurance remains in eaect, but we are not liable for any accidents,
injuries, or losses arising from the condition or safety of the third-party premises
• For corporate group sessions, additional terms may apply as set out in a separate corporate
services agreement.
4 Fees & Payment
4.1 Pricing. Our pricing structure is as follows:
• 1:1 Transformational Sessions: £297 per session. If more sessions are required, we can
negotiate pricing according to what is needed.
• 90-Day Reset Transformation Programme: £1,997
• Digital Audio Products: £27 per product
4.2 Price Increases. We may alter our prices without prior notice. Increases made between the time
when you book a session and the date of the session will not apply to your session on that date.
4.3 VAT. All prices are exclusive of VAT (which is not chargeable unless we notify you otherwise). For
clients based outside the UK, diaerent tax rules may apply and you are responsible for any taxes
payable in your jurisdiction.
4.4 Payment Terms for 1:1 Sessions and Programmes. Payment of our fees for 1:1 sessions and
programmes is due in advance in order to secure your appointment or programme place. We will let
you know when you make the appointment when the fee for that session will be due and payable.
4.5 90-Day Reset Transformation Programme Payment Terms. The 90-Day Reset Transformation
Programme fee of £1,997 is payable in full before the programme commences, unless alternative
payment arrangements have been agreed in writing. Once the programme has commenced, no
refunds will be provided except as set out in clause 11.2 below.
4.6 Payment Methods. You may pay us for Services (and for any deposit or other advance payment on
account of that payment) using the bank details attached on our invoice.
4.7 Interest. Chasing unpaid invoices attracts an administration and interest charge of 8% above the
Bank of England base rate from the due date until the final settlement date. We may suspend the
provision of our Services to you in the event that any due fees remain unpaid.
5 Online Sessions
5.1 Online Platform & Technology. Sessions may be provided online via a pre-agreed livestream service
(for example Zoom, Teams, WhatsApp). When using a third-party supplier for online sessions, your
personal and special category data will be treated in accordance with our Privacy Policy and may be
subject to the privacy policy of the third-party supplier. We will not be liable to you for any costs or
losses incurred by you as a result of using any third-party online provider for the purposes of

attending a session virtually with us. You should make yourself familiar with such provider’s own
terms and conditions and privacy policy.
5.2 Livestream Timings. If we provide any of our Services as a livestream, we will use all reasonable
endeavours to start at the time scheduled. If the start is delayed by circumstances beyond our
control, we will not be liable for any such delay.
5.3 Technical Issues & Service Suspension. In some limited circumstances, we may need to suspend
the provision of an online session for one or more of the following reasons: (i) to fix technical
problems or to make necessary technical changes; or (ii) in the event of illness or other
circumstances beyond our control. If you are unable to complete the online session due to technical
diaiculties on your side, you will not be entitled to a refund. It is your responsibility to ensure your
tech is working suaiciently prior to the session commencing.
5.4 International Clients. We may provide online sessions to clients located outside the United
Kingdom. If you are based overseas:
• Sessions will be conducted in English only.
• You are responsible for ensuring you have appropriate internet connectivity and that online
sessions are legally permissible in your jurisdiction.
• Payment must be made in GBP (British Pounds Sterling) and you are responsible for any
currency conversion fees or international transaction charges.
• Session times will be scheduled according to UK time (GMT/BST) unless otherwise agreed.
• You acknowledge that our Services are provided from the United Kingdom and are regulated
according to UK standards and professional bodies.
6 Recording of Sessions
6.1 Recording Purposes & Consent. We may occasionally record 1:1 sessions for quality assurance,
professional development, training (with additional consent), or clinical supervision purposes. We
will always seek your explicit written consent before recording any session. There is no expectation
or requirement for you to agree to this. You have the right to refuse consent without this aaecting
the Services provided to you.
6.2 Group Sessions. Where we provide group sessions, workshops, or live stream events:
• All participants will be asked to provide explicit consent to being recorded before the session
begins;
• Recordings may be made available for replay to registered participants for a limited period;
• Participants must not make their own recordings of group sessions without written permission
from us and all other participants;
• Participants are expected to respect the confidentiality of other attendees and must not share
personal information disclosed by others; and
• By participating in a group session, you acknowledge that other participants will see and hear
you if you choose to participate actively.
6.3 Client Recording Restrictions. You must not record any session without discussing and agreeing
this with us first and obtaining our written consent. It is not permitted, under any circumstances,
that any agreed recording is shared with others or on any social media platform. Unauthorised
recording may result in immediate termination of Services.
6.4 Safe Use of Recordings. Audio recordings must not be listened to while driving, operating
machinery, or undertaking any activity requiring full concentration. You are responsible for ensuring
recordings are used safely.

7 Cancellations
7.1 Cooling-OV Period for 1:1 Sessions. You have a 14-day cooling-oa period from booking individual
sessions, during which you can cancel without penalty. However, if your session is scheduled to
begin within this 14-day period and you wish to proceed, you will lose your right to cancel without
charge.
7.2 Cancelling Individual Sessions. For cancellations of individual sessions made with fewer than 48
hours’ notice, a full session charge will apply. Cancellations made with 48 to 72 hours’ notice will
incur a charge of 50% of the session rate. Cancellations made with 72 hours’ or more notice will
receive a full refund.
7.3 Exceptional Circumstances. If, due to exceptional circumstances, you cancel an appointment
without giving at least 48 hours’ prior notice, we will consider the circumstances and may, at our
discretion, waive any charges.
7.4 Cooling-OV Period for the 90-Day Reset Transformation Programme. You have a 14-day coolingo
a period from the date of purchase. You may cancel and receive a full refund if you cancel within
14 days and before the first session takes place. Once the programme has commenced (i.e., after
the first session), no refunds will be provided except in exceptional circumstances at our discretion.
7.5 Digital Audio Products. Due to the nature of digital products, you may cancel your purchase within
14 days only if you have not yet downloaded or accessed the product. Once downloaded or
accessed, all sales are final. See Section 8 for full terms.
7.6 Studio Cancellations. We may cancel an appointment at any time before the scheduled date if: (i)
required personnel or materials are not available; or (ii) an event outside our reasonable control
occurs. If we cancel, we will refund any advance payment you have made in full.
7.7 Termination for Breach. If you breach these Terms and we terminate the Services as a result, you
will not be entitled to a refund.
8 Digital Audio Products – Terms of Sale
8.1 Nature of Digital Products. Digital Audio Products are pre-recorded, self-guided personal
development tools. They do not constitute personalised therapy or medical treatment and are
provided for personal use only.
8.2 Delivery. Digital products will be delivered electronically via download link or email within 24 hours
of payment confirmation. You are responsible for downloading the product within the time period
specified in the download link (typically 30 days).
8.3 Refund Policy for Digital Products. Due to the nature of digital products, all sales are final once you
have accessed or downloaded the product. However, you have the right to cancel your purchase
within 14 days of purchase if you have not yet downloaded or accessed the product. To exercise this
right, please contact us within 14 days of purchase.
8.4 Permitted Use. Digital Audio Products are licensed for your personal, non-commercial use only. You
may (i) download and store the product on your personal devices; and (ii) use the product for your
own personal development
8.5 Prohibited Use. You may not (i) share, distribute, or make available the product to any third party;
(ii) upload or share the product on any file-sharing platform, social media, or website; (iii) sell, rent,

lease, or commercially exploit the product; (iv) modify, adapt, or create derivative works from the
product; nor (iv) remove or alter any copyright notices or proprietary markings.
8.6 Intellectual Property. All Digital Audio Products and their content (including audio recordings,
scripts, music, and any accompanying materials) and any personalised audio recordings created
during 1:1 sessions or programmes are protected by copyright and remain the intellectual property
of HEALHQ Studio. You are granted a limited, non-exclusive, non-transferable license to use the
product for personal purposes only. You may not copy, share, distribute, reproduce, or commercially
exploit these recordings without our written consent.
8.7 Breach of Terms. Any unauthorised use, distribution, or sharing of Digital Audio Products
constitutes a breach of these Terms and Conditions and may result in (i) immediate termination of
your licence to use the product; (ii) legal action for copyright infringement; and/or (iii) claims for
damages.
8.8 No Guarantees for Digital Products. Digital Audio Products are provided “as is” without any
guarantees of specific outcomes or results. Individual results may vary. These products are not a
substitute for professional medical, psychiatric, or psychological treatment.
9 Refund Policies
9.1 Transformational Sessions. You are eligible to:
• A full refund for cancellations with 72+ hours’ notice.
• A 50% refund for cancellations with 48-72 hours’ notice.
• No refund for cancellations with fewer than 48 hours’ notice.
9.2 90-Day Reset Transformation Programme. You are eligible to:
• Before programme commencement: Full refund if cancelled within 14 days of purchase
and before the first session.
• After programme commencement: No refunds except in exceptional circumstances at our
discretion.
10 Confidentiality
10.1 Confidential Information. The information discussed in our sessions with you is of a confidential
nature. We provide a safe space in which you can share your feelings and thoughts with us. We will
ensure that any confidential information you disclose to us shall not be disclosed to any person
except as permitted in this section.
10.2 Permitted Disclosures. We may disclose confidential information relating to you:
• to our employees, advisers, other healthcare professionals or social agencies who need to
know such information for the purposes of carrying out our Services to you;
• as may be required by law, a court of competent jurisdiction or any governmental or regulatory
authority;
• if we believe that you are at risk of harming yourself or others; or
• where necessary for the prevention, detection or prosecution of serious crime.
11 How We Use Your Personal Information (Data Protection)
11.1 Privacy Policy. We will only use your personal information as set out in our Privacy Policy on our
website at www.healhqstudio.com. If you do not have access to the internet we can provide you with
a printed version of our Privacy Policy.

11.2 ICO Registration. We are registered as Data Controllers with the UK Information Commissioner’s
Oaice (ICO) and our registration number is ZC093286.
11.3 Overseas Clients. If you are located outside of the United Kingdom, your personal data will be
processed in the UK. By engaging our Services, you consent to the transfer and processing of your
data in accordance with UK data protection laws.
12 Liability
12.1 Standard of Care. We will provide our Services with reasonable care and skill in accordance with
professional standards.
12.2 General Liability Principle. We will be responsible for any loss or damage you suaer that is a
reasonably foreseeable result of our breach of these terms or our negligence, subject to the
limitations set out in this section.
12.3 Cap on Liability. Subject to clause 12.5 below, our total liability to you for any loss or damage arising
out of or in connection with these Terms and Conditions or the provision of Services, whether in
contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed:
(a) For individual 1:1 Transformational Sessions: the fees paid by you for the specific session
giving rise to the claim;
(b) For the 90-Day Reset Transformation Programme: the total fees paid by you for that
programme;
(c) For Digital Audio Products: the price paid for the specific product giving rise to the claim; or
(d) In all other cases: £500.
12.4 Excluded Losses. Subject to clause 12.5 below, we will not be liable to you for:
(a) Any loss of income, profit, business, contracts, anticipated savings, or revenue;
(b) Any loss of use or corruption of software, data, or information;
(c) Any loss of or damage to goodwill or reputation;
(d) Any indirect or consequential losses;
(e) Any loss or damage arising from your failure to disclose relevant medical, psychiatric, or
psychological information during your suitability assessment or at any time during our work
together;
(f) Any health outcomes, symptoms, or conditions arising from your participation in the
Services, except where directly caused by our negligence;
(g) Any loss or damage resulting from your use (or misuse) of personalised audio recordings or
Digital Audio Products contrary to our instructions or these Terms and Conditions;
(h) Any loss caused by factors outside our reasonable control, including but not limited to thirdparty
technology platforms, internet connectivity issues, or force majeure events;
(i) Any loss arising from decisions you make based on the Services, including decisions not to
seek or to discontinue medical, psychiatric, or psychological treatment; or

(j) Any loss that could not reasonably have been expected when we agreed to provide Services
to you.
12.5 Liabilities That Cannot Be Limited. Nothing in these Terms and Conditions excludes or limits our
liability for:
(a) Death or personal injury caused by our negligence;
(b) Fraud or fraudulent misrepresentation;
(c) Breach of the implied terms about reasonable care and skill under section 49 of the
Consumer Rights Act 2015, to the extent such liability cannot be limited by law; or
(d) Any other liability that cannot be excluded or limited under applicable law.
12.6 Nature of Services and Outcomes. You acknowledge and agree that:
(a) Personal transformation and personal development services involve a collaborative process
between practitioner and client;
(b) Outcomes and results vary significantly between individuals based on numerous factors
including your engagement, commitment, circumstances, and individual characteristics;
(c) While we are committed to providing professional, ethical support in accordance with
established standards, we cannot and do not guarantee specific results, outcomes, or
timescales; and
(d) Your progress depends substantially on factors within your own control.
12.7 Medical Disclaimer and Your Responsibility. You acknowledge and agree that:
(a) Our Services are not medical, psychiatric, or psychological treatment and are not a
substitute for such treatment;
(b) We do not diagnose, treat, cure, or prevent any disease, disorder, or medical condition;
(c) You remain solely responsible for your own health and wellbeing and for seeking appropriate
professional medical, psychiatric, or psychological care where needed;
(d) You should not discontinue any medical or psychiatric treatment without consulting your
healthcare provider;
(e) If you choose to participate in our Services instead of, or as a complement to, medical
treatment, you do so at your own risk; and
(f) We are not liable for any health outcomes or consequences arising from your participation
in the Services or your decisions regarding medical care.
12.8 Your Consumer Rights. Your statutory rights under the Consumer Rights Act 2015 and other
applicable consumer protection legislation are not aaected by these terms except to the extent
permitted by law.
12.9 Insurance. We maintain professional indemnity insurance appropriate to our Services. Details are
available upon request.
13 Changes to these Terms and Conditions
13.1 We may from time to time change these Terms and Conditions without giving you notice, but we will
use our reasonable endeavours to inform you as soon as is reasonably possible of any such change.
14 Complaints

14.1 We always welcome feedback from our clients and, whilst we shall use all reasonable endeavours
to provide a high standard of service and care to all clients, we nevertheless want to hear from you if
you have any cause for complaint. If you have any complaint about our Services or any other
complaint about us, please raise the matter with Jonny Gunton who can be contacted at
info@healhqstudio.com.
15 Testimonials
15.1 Use of Testimonials. With your separate written consent, we may use feedback or testimonials you
provide for marketing purposes, including on our website, social media, and promotional materials.
15.2 Anonymity. You may choose to remain anonymous, use your first name only, initials only, or your full
name. We will not include additional identifying information without your permission.
15.3 What We Protect. We will never disclose in any testimonial: specific health information, the
reasons you sought our Services, or session details.
15.4 Voluntary and Withdrawable. Providing a testimonial is entirely voluntary and will not aaect the
Services we provide. You may withdraw consent at any time by contacting us in writing, and we will
remove your testimonial within 30 days from materials under our direct control.
16 General
16.1 Contact. If you need to contact us between sessions please do so by email or telephone. We do not
provide support outside of sessions. Our working hours are Monday – Friday 9am-6pm. We aim to
respond to emails/voicemails within 24-48 hours.
16.2 Waiver. If we do not enforce a right straight away, that doesn’t mean we have waived it. If any part of
these terms is found invalid, the rest still apply.
16.3 Entire Agreement. These Terms and Conditions constitute the entire agreement between us and
supersede any prior discussions, correspondence, representations, or understandings relating to
the Services.
16.4 Governing Law & Jurisdiction. These Terms and Conditions are subject to the laws of England &
Wales and the jurisdiction of the English Courts.
16.5 Consumer Rights. As a consumer, you will benefit from any mandatory provisions of the law in your
country of residency. However, where there is any conflict between these Terms and Conditions and
the mandatory provisions of your local law, you agree to notify us immediately so we can assess
whether we are able to continue providing Services to you.
17 Your Consent and Agreement.
Why we need your consent and signature: Your signature confirms that you’ve read and
understood these Terms and that you’re suitable for our Services. First, please tick the boxes below
to consent to the key aspects – particularly your health suitability and how we use your
information. Then sign at the end. This protects both of us and ensures clear, mutual
understanding.

• I have disclosed all relevant medical, psychiatric, and psychological history during my
suitability assessment.
• I do not have any of the absolute contraindications listed in Section 2.2.
• If I have any of the relative contraindications listed in Section 2.2, I have disclosed them and
obtained medical clearance where required.
• If medical clearance is not required, I confirm that I have assessed my own suitability to
participate and accept full responsibility for this decision. I understand that HEALHQ Studio is
not liable for any consequences arising from my decision not to seek medical advice.

☐ Your Personal Information
I agree that you can collect, store and use my personal and health information to provide me
with Services.
This means we will keep notes about our sessions, your contact details, and any health information
you share with us. We need this to provide you with the best possible support. We will keep this
information safe and only use it for your work with us. You can read more about how we protect your
information in our Privacy Policy.
☐ Sharing Information When Necessary
I agree that you can share my information with other professionals when needed for my care.
Sometimes we may need to share some of your information with:
• Other professionals (such as associates, your GP if you agree)
• Our supervisors (who help us provide better care)
• Companies that help us run our Studio (like our appointment booking system)
• Authorities if we’re worried about your safety or someone else’s safety
We will only share what’s necessary and everyone we share with must also keep your information
confidential.
☐ Information Storage Outside the UK
